Fractional CFO

Basis Vectors Capital is a New York-based SaaS investment firm that acquires and scales established B2B software businesses. The fractional CFO will take end-to-end ownership of acquisition finance, covering financial due diligence, valuation and deal modelling, price and financing negotiations, and coordination of bankers, auditors and legal counsel through close. Distressed asset and Section 363 experience is required.

Post-close, the role involves leading finance integration, establishing SaaS metrics reporting (ARR, churn, CAC, LTV and gross margin), managing 13-week cash flow and multi-year forecasting, and driving cost restructuring and margin improvement. Ongoing responsibilities include board and investor reporting, tax strategy, and capital structure advice. Commitment scales around deal milestones, and the role requires regular in-person availability in the New York metropolitan area.

• Lead financial due diligence including quality of earnings, revenue recognition, working capital analysis, and liability assessment
• Own valuation and deal modelling, and lead price negotiation and financing terms with lenders
• Assess bankruptcy, distressed-asset and Section 363 considerations in coordination with legal advisors
• Direct finance integration post-close, including chart of accounts, systems, controls and accounting team oversight
• Establish SaaS metrics reporting and own cash flow, budget and multi-year forecasting
• Prepare monthly board and investor reporting and advise on capital strategy and tax planning

• CPA with 25 or more years in finance leadership, including CFO or VP Finance roles
• Hands-on experience with software or SaaS businesses
• Direct experience with Chapter 11, Section 363 sales, turnarounds or distressed M&A across multiple companies
• Demonstrated end-to-end acquisition leadership from diligence through integration
• Based in or able to work regularly within the New York metropolitan area
• Prior fractional or interim CFO engagements and Big Four or restructuring advisory background preferred
