Corporate Governance & Securities Counsel Director - Contractor

Align Technology is seeking an experienced legal professional to serve as a contractor Corporate Governance and Securities Counsel Director, based at its Tempe, Arizona headquarters. The role reports to the VP and Associate General Counsel for Corporate Securities and Public Affairs, with responsibility for board governance, SEC reporting and disclosure, securities compliance, subsidiary governance, and AI-enabled digital modernisation of legal operations.

The position is an individual contributor role requiring strong strategic judgement, executive presence, and the ability to lead complex governance and securities initiatives independently. The successful candidate will partner across Finance, Investor Relations, Tax, Treasury, HR, Executive Compensation, and senior leadership, while helping Align maintain best-in-class governance practices as a global public company.

• Lead Board and committee governance processes, including preparation of agendas, materials, resolutions, minutes, and annual shareholder meeting documentation.
• Coordinate SEC reporting and disclosure processes, including Forms 10-K, 10-Q, 8-K, S-8, and proxy statements.
• Oversee insider trading compliance, Section 16 reporting, Rule 144 matters, and 10b5-1 trading plan reviews.
• Manage Align's global subsidiary governance framework, including entity formation, maintenance, compliance reviews, and dissolution activities.
• Advise on financing arrangements, investment agreements, bond issuances, and other financial instruments in partnership with Business Development, Tax, and Treasury.
• Lead governance and securities modernisation initiatives leveraging AI, automation, and digital technologies to improve scalability and compliance.

• Juris Doctor (JD) from an accredited law school and active licence to practise law in at least one U.S. jurisdiction.
• 12 or more years of corporate legal experience at a sophisticated law firm and/or publicly traded company legal department.
• Substantial experience with SEC reporting, securities law compliance, corporate governance, board matters, and public company obligations.
• Strong knowledge of SEC regulations, Nasdaq listing standards, SOX, Dodd-Frank, insider trading regulations, and governance best practices.
• Demonstrated ability to advise and influence executive leadership on complex governance, disclosure, and compliance matters.
• Experience leveraging technology, automation, or AI tools to improve governance, compliance, or reporting processes.
