Commercial Counsel - Independent Contractor (Part-Time)

This independent contractor role sits within Motorola Solutions' Americas Commercial legal team, supporting both US federal government and commercial contracting workflows. Responsibilities span first-pass contract reviews, issue identification, document coordination, and negotiation support across a high volume of routine and repeat agreements including sales, licensing, services, and technology contracts.

The successful candidate will develop negotiation strategies alongside internal business partners, evaluate risk exposure, and ensure compliance with company policy and applicable regulations including FAR and DFARS. The role requires pragmatic legal judgement, strong written and verbal communication, and the ability to manage a fast-paced contract workload independently.

• Draft, review, negotiate, and finalise routine transactional agreements including sales, distribution, licensing, services, and technology contracts.
• Manage contract documentation and approval flows to maintain consistency with internal processes.
• Assist with contract disputes by researching issues, providing guidance, and drafting settlement agreements.
• Conduct flow-down clause reviews and identify high-risk or non-applicable FAR/DFARS clauses for legal escalation.
• Advise internal stakeholders on legal risks, regulatory compliance, and business objectives.
• Maintain and update contract templates, playbooks, and negotiation precedent materials.

• Juris Doctor degree and admission to the bar of at least one US state.
• 4+ years of experience in public sector or government contracting law, commercial transactions, or corporate contract negotiation.
• Strong working knowledge of FAR, DFARS, and related federal contracting regulations.
• Background in technology matters including software licensing, subscription agreements, and intellectual property preferred.
• Demonstrated ability to identify legal issues and recommend practical, risk-balanced solutions.
• Excellent analytical, negotiation, and written communication skills with the ability to work independently in a high-volume environment.
