A fractional General Counsel opportunity with a scaling global technology services and software company, advising executive leadership across commercial contracts, IP, data privacy, and M&A matters.
Maitsys is a growing global technology services and software business seeking a business-minded Fractional General Counsel to serve as a trusted legal and strategic advisor to executive leadership. This is a substantive advisory role, not a contract-review function. The successful candidate will identify risks early, help structure commercial and corporate transactions, and build the legal framework required to support continued growth.
The engagement is expected to run approximately 10 to 20 hours per month under a predictable retainer arrangement, with scope expected to grow alongside the business. Candidates must hold a JD and hold active membership in good standing with at least one U.S. state bar, and bring 10 or more years of corporate and commercial law experience with meaningful exposure to technology companies.
- Draft, review and negotiate enterprise MSAs, SOWs and NDAs with commercial customers
- Advise on vendor, subcontractor and strategic partnership agreements
- Support M&A activity including LOIs, due diligence processes and acquisition agreements
- Manage software and SaaS licensing matters and protect intellectual property
- Counsel leadership on AI, data privacy and technology-related legal obligations
- Coordinate and oversee specialised outside counsel as required
- JD with active membership in good standing of at least one U.S. state bar
- 10 or more years of corporate and commercial law experience, with a focus on technology companies
- Hands-on experience with IT services, enterprise software or SaaS, M&A and international transactions
- Proven ability to advise on employment, independent-contractor and cross-border agreements
- Business-minded approach with the ability to explain risk clearly and recommend practical solutions
- Capacity to work directly with a founder-led executive team and manage outside counsel
