Fractional General Counsel / Outside General Counsel - Utah

Beehive Advisors is looking for an experienced attorney to serve as Fractional General Counsel on a part-time contract basis. The engagement is scoped at roughly 5 to 10 hours per month and centres on practical, commercial legal support for a growing AI implementation and consulting business.

The work spans drafting and negotiating MSAs, SOWs, consulting agreements, NDAs, and vendor or subcontractor agreements, as well as advising on indemnification, limitation-of-liability provisions, insurance, data and privacy considerations, and AI-related legal risks. The counsel will also identify when specialist advice is warranted and provide clear, business-oriented guidance on general corporate and risk-management matters.

• Draft, review, and negotiate MSAs, SOWs, consulting agreements, NDAs, and client or vendor contracts
• Advise on indemnification, insurance, and limitation-of-liability provisions
• Address AI, data, privacy, and confidentiality issues as they arise
• Prepare and review subcontractor and independent contractor agreements
• Respond to general corporate and risk-management questions from the leadership team
• Identify matters requiring specialist counsel and coordinate referrals accordingly

• Active Utah law licence in good standing
• 8 or more years of relevant commercial and transactional legal experience
• Strong background in technology, software, SaaS, consulting, or professional-services contracts
• Familiarity with AI, data, and emerging technology legal issues
• Practical, business-oriented approach to legal advice
• Comfortable using AI tools to support legal work
