Flying Horse Capital
Interim CFO – Transaction & Exit Readiness
An interim CFO engagement supporting a lower-middle-market founder-owned business through sell-side due diligence, quality of earnings preparation, and financial reporting improvements ahead of a pending acquisition close.
Flying Horse Capital, a Dallas-based permanent capital firm, is supporting a strategic partner through a pending acquisition of a lower-middle-market, founder- or family-owned business. The interim CFO will be a hands-on finance leader responsible for guiding the target company through buyer due diligence and preparing its finance function for transaction close. The engagement is expected to run approximately two to three months, requiring immediate availability and on-site presence across Atlanta, GA and Birmingham, AL.
The role demands direct sell-side M&A experience, strong technical accounting knowledge, and the ability to operate independently under tight deal timelines. The incumbent will coordinate with acquirers, transaction advisors, accountants, and legal counsel, and will document processes to support an orderly post-close handover.
- Lead responses to buyer due diligence requests, coordinating financial, tax, working capital, and operational information.
- Establish and maintain a virtual data room and manage the diligence request tracker through to closing.
- Prepare the business for a quality of earnings review, including EBITDA normalisation, add-back documentation, and financial statement reconciliations.
- Assess and address gaps in financial reporting, internal controls, and month-end close processes.
- Prepare monthly financial statements, KPI reporting, cash flow analyses, and working capital schedules.
- Document key finance processes and support a smooth transition to post-close leadership.
- Ten or more years of progressive finance experience, including CFO or senior finance leadership roles.
- Direct experience leading or supporting sell-side M&A, buyer due diligence, and quality of earnings processes.
- Background working with lower-middle-market, founder- or family-owned businesses.
- Strong technical accounting knowledge across GAAP, financial reporting, and month-end close.
- CPA strongly preferred; Big 4 or transaction advisory experience is an advantage.
- Immediate availability and ability to be on-site in Atlanta and Birmingham.
