An interim CFO opportunity supporting a private equity-backed SaaS company through a carve-out and transition to a fully standalone operating environment, partnering with the CEO, Board, lenders, and investors.
This interim CFO role sits within a PE-backed software company navigating a complex carve-out from a former parent. The successful candidate will operate across strategic and operational layers, from board and lender engagement through to building standalone finance processes, controls, forecasting, and reporting infrastructure from the ground up.
The role involves leading the company's first independent Annual Operating Plan, managing TSA execution and exit, overseeing systems separation and data migration, and ensuring covenant compliance with lenders. Leadership is primarily located in Ottawa, Canada and Austin, Texas, with a preference for candidates in Eastern or Central US time zones. The ability to start on short notice is a firm requirement.
- Serve as a strategic and financial advisor to the CEO, Board, private equity sponsors, and lenders
- Lead FP&A, financial modelling, forecasting, and the company's first standalone Annual Operating Plan
- Own lender reporting, covenant compliance, and liquidity management requirements
- Manage execution and exit of Transition Services Agreements with the former parent company
- Partner with IT and business leaders on systems separation, data migration, and finance infrastructure cutover
- Establish scalable standalone finance processes, controls, and reporting as transitional services are wound down
- Prior CFO experience in software, SaaS, technology, media, or telecommunications
- Significant experience in PE-backed organisations, including carve-outs or separation environments
- Strong track record managing lender reporting, covenant compliance, and investor relations
- Demonstrated FP&A and strategic planning capability, including building an independent AOP
- Hands-on TSA management experience, covering both TSA exits and reverse-TSA obligations
- Available to start on short notice and comfortable operating across both operational and executive levels
